Order Terms and Conditions
Effective Date: November 1, 2026 · Last Updated: November 1, 2026
1. Scope and Acceptance
These Order Terms and Conditions (“Order Terms”) apply to quotes, sales orders, order acknowledgments, invoices, and accepted orders issued by I.D. Me Promotions, LLC (“I.D. Me,” “we,” “us,” or “our”). “Customer,” “you,” and “your” mean the person or organization accepting the applicable order. By signing, electronically accepting, submitting a purchase order that references an I.D. Me quote, making a required payment, or otherwise affirmatively accepting an order as specified by I.D. Me, you agree to these Order Terms. If you act for an organization, you represent that you are authorized to bind it.
2. Relationship to Other Agreements
These Order Terms supplement the I.D. Me Website Terms of Use, Privacy Policy, applicable company-store terms, and the specific quote or sales order. If these Order Terms conflict with a negotiated written agreement signed by I.D. Me, the signed agreement controls. If they conflict with a specific provision in an accepted I.D. Me quote or sales order, the more specific accepted provision controls for that order. Terms in a customer purchase order that add to or conflict with I.D. Me’s terms are rejected unless I.D. Me expressly agrees to them in a writing signed by an authorized I.D. Me representative.
3. Quote Validity and Changes
Unless the quote states otherwise, a quote remains valid for 30 calendar days. Before acceptance, I.D. Me may correct or revise a quote because of supplier price changes, inventory, freight, tariffs, duties, taxes, licensing fees, market conditions, changed project requirements, or an obvious clerical or pricing error. A quote does not reserve inventory unless I.D. Me confirms reservation or supplier allocation in writing.
4. Order Formation
An order becomes binding only after: (a) I.D. Me issues or confirms a quote, sales order, or order acknowledgment; (b) the Customer accepts it using the method specified by I.D. Me; (c) required purchase order, deposit, payment, or credit approval is received; (d) acceptable artwork, personalization data, shipping information, and other required information are received; (e) required organizational or licensing approval is obtained; (f) the Customer approves the proof when a proof is required; and (g) I.D. Me accepts the order for production. A quote request, preliminary quote, Website cart, virtual sample, or unaccepted proposal is not an accepted order.
5. Pricing and Additional Charges
The accepted quote identifies the products and services included in the quoted price. Unless expressly included, pricing may exclude setup charges, artwork preparation, vector conversion, digitizing, screens, typesetting, color separation, PMS matching, decoration changes, freight, shipping, tax, tariffs, duties, licensing royalties, rush charges, special packaging, kitting, fulfillment, storage, address correction, residential delivery, inside delivery, liftgate service, and individual shipping. Customer-requested or Customer-approved changes may increase price and extend production or delivery timing. I.D. Me will communicate material unquoted charges for approval where reasonably practical.
6. Taxes, Tariffs, Duties, and Exemptions
The Customer is responsible for applicable sales, use, excise, customs, duties, tariffs, brokerage, and similar governmental charges unless the Customer provides valid exemption documentation accepted by I.D. Me or the accepted quote expressly states otherwise. The Customer is responsible for the accuracy and continued validity of any exemption certificate.
7. Payment and Credit
Unless the accepted quote states otherwise, payment is due upon receipt. New customers and orders presenting material credit risk may be required to prepay or pay a 50% deposit, with the remaining balance due before shipment. Customers with approved credit may be offered Net 30 terms. Approved credit accounts are subject to I.D. Me’s credit approval and may be modified or withdrawn. I.D. Me may suspend artwork, production, fulfillment, or shipment for nonpayment, chargebacks, credit concerns, or failure to provide required information. Past-due balances may accrue a late charge of 1.5% per month or the maximum lawful rate, whichever is lower. The Customer is responsible for reasonable collection costs, including attorneys’ fees, to the extent permitted by law. Payments may be processed through Fortis, PayPal, Stripe, or another approved provider. I.D. Me does not ordinarily receive complete payment-card numbers through those hosted payment workflows.
8. Customer Artwork and Authorization
The Customer represents and warrants that it owns or is authorized to use all names, logos, trademarks, trade dress, artwork, images, text, personalization, and other materials supplied for an order. The Customer authorizes I.D. Me and its suppliers, manufacturers, decorators, printers, technology providers, fulfillment providers, and carriers to reproduce, modify, format, transmit, and disclose those materials as reasonably necessary to quote, proof, produce, personalize, package, fulfill, deliver, support, and maintain records for the order. I.D. Me may request evidence of authority and may hold or refuse an order when authority or legality is unclear.
9. Collegiate, Institutional, and Other Licensing
Unless the accepted quote states otherwise, I.D. Me will coordinate submission of artwork to the applicable licensing authority when licensing approval is required, and the Customer will provide evidence of authorization and reasonably requested information. The Customer is responsible for applicable licensing fees and royalties. Production will not begin until required licensing approval is received unless I.D. Me expressly agrees otherwise in writing. Licensing rejection, requested revision, or delayed approval may change price and timing. I.D. Me may refuse production of unapproved or unauthorized marks.
10. Artwork Preparation and File Quality
Customer-supplied artwork must meet production requirements. Additional charges may apply for cleanup, recreation, vector conversion, digitizing, typesetting, color separation, or other preparation. Low-resolution, incomplete, corrupted, or unsuitable files may delay production or affect output. Any Customer approval of revised artwork or added charges will become part of the order.
11. Proofs and Customer Approval
The Customer must carefully review every proof for product, product color, artwork, spelling, names, dates, numbers, imprint color, imprint size and location, decoration method, personalization, quantities, and shipping information. I.D. Me and production partners may reasonably rely on written or electronic approval. The Customer is responsible for errors appearing in an approved proof, except to the extent the delivered product materially differs from the approved proof because of an error by I.D. Me or its production partners. For a repeat order with no requested changes, I.D. Me may waive a new proof after the Customer confirms the prior specifications in writing.
12. Virtual Samples and Screen Displays
Virtual samples, logo previews, product mockups, digital renderings, and screen colors are illustrative. They may not accurately represent final color, scale, placement, texture, finish, decoration, packaging, or product appearance. Only an approved production proof and the accepted order specifications govern production, subject to commercially reasonable tolerances.
13. Product, Color, and Decoration Tolerances
Products, dye lots, materials, dimensions, finishes, packaging, imprint colors, imprint location, registration, and decoration may vary within commercially reasonable manufacturing and decoration tolerances. PMS colors are matched as closely as commercially reasonable. Exact PMS matching, when technically available, may require an additional charge and must be confirmed in writing before production. Product and imprint colors may vary between production lots and from screen displays, samples, or prior orders.
14. Quantities; Overruns and Underruns
Supplier production may result in overruns or underruns of up to 10% unless the accepted order states otherwise. The Customer will be invoiced for the actual quantity shipped. Exact-quantity production may be available for an additional charge if confirmed in writing before production.
15. Production and Delivery Timing
Production time begins only after I.D. Me has received all required approvals, information, payment or credit authorization, and licensing approval. Production and delivery dates are estimates unless I.D. Me expressly provides a written guaranteed date. Late artwork, proof changes, delayed approvals, payment delay, inventory change, supplier interruption, carrier delay, customs, severe weather, labor interruption, or other events outside reasonable control may extend timing. A Customer should promptly notify I.D. Me of a fixed event date, but disclosure of an event date does not create a delivery guarantee unless expressly confirmed in writing.
16. Product Substitutions and Discontinuations
If a product, color, size, component, packaging item, or decoration method becomes unavailable, I.D. Me may propose a substitute. Customer approval is required for a material substitution unless the accepted order expressly authorizes an equivalent substitution. A substitution may change price, schedule, or decoration.
17. Customer Changes
A Customer-requested change is effective only when I.D. Me accepts it. Changes may result in artwork, setup, supplier, restocking, rush, freight, production, or other charges and may reset the estimated production and delivery schedule. I.D. Me is not required to accept a change after supplier commitment or production begins.
18. Cancellation
An accepted custom order may be cancelled only with I.D. Me’s written approval. The Customer is responsible for all costs and nonrecoverable commitments incurred through the cancellation date, which may include artwork, proofs, setup, licensing, supplier restocking, allocated or purchased blank goods, decoration, personalization, production, packaging, freight, and administrative costs. Before supplier commitment, any approved cancellation will be charged for completed work and nonrecoverable costs. After goods are ordered or allocated, applicable supplier and restocking charges also apply. After decoration, personalization, or production begins, cancellation may not be possible and the full order price may be due.
19. Customized Goods; Returns and Exchanges
Customized, decorated, personalized, licensed, special-order, or program-specific goods are nonreturnable and nonexchangeable except for a verified material defect, shortage, shipping damage, incorrect production, or I.D. Me error. Incorrect Customer selection of product, color, size, quantity, spelling, address, or approved personalization is not an I.D. Me error. Store-specific return or exchange rules may apply to undecorated or standardized goods.
20. Shipping and Partial Shipments
Shipping method, destination, and charges are as stated in the accepted quote or invoice. Partial shipments are permitted when reasonably necessary to meet production or delivery requirements. I.D. Me may select or substitute a commercially reasonable carrier unless the accepted order specifies otherwise. Additional charges may apply for address correction, reconsignment, residential delivery, liftgate, inside delivery, storage, redelivery, refused delivery, or Customer-caused delay.
21. Title and Risk of Loss
Title to goods passes when I.D. Me receives full payment. Risk of loss transfers when the goods are duly tendered to the carrier for shipment, unless the accepted order expressly requires delivery to a specified destination or states another transfer point. I.D. Me will reasonably assist the Customer with a timely carrier claim but does not guarantee the carrier’s decision or payment. Nothing in this section alters responsibility for goods that materially fail to conform to the accepted order before risk transfers. For international shipments, the Customer is responsible for duties, taxes, brokerage, customs clearance, import documentation, and related charges unless the accepted quote expressly states otherwise.
22. Inspection and Claims
The Customer must inspect shipments promptly. Visible shortage, damage, defect, incorrect product, incorrect personalization, or shipping error must be reported within 5 business days after delivery. Concealed damage must be reported within 10 calendar days and within any shorter carrier deadline. A claim should include the order number, description, photographs, shipping labels, original packaging, and samples reasonably requested. The Customer must preserve affected goods and packaging and provide I.D. Me a reasonable opportunity to inspect and cure. Failure to provide timely notice may limit available remedies to the extent permitted by law.
23. Remedies
For a verified material defect or I.D. Me error, I.D. Me will, at its reasonable option and subject to applicable law, rework the affected goods, replace them, issue a credit, refund the amount paid for the affected portion, or provide another agreed remedy. The Customer must provide a reasonable opportunity to inspect and cure. Remedies may be denied for Customer-approved errors, ordinary tolerance variation, misuse, improper storage, unauthorized alteration, or damage occurring after risk of loss transfers.
24. Samples
Unless the accepted quote states otherwise, samples are charged at the stated sample price plus freight. A returnable sample must be preauthorized, unused, unaltered, and returned within 15 calendar days. Sample charges will be credited toward a later production order only when the quote or sample authorization expressly provides for a credit. Samples may differ from final production in color, decoration, configuration, packaging, or production lot. Unless expressly stated otherwise, a sample does not reserve inventory or guarantee production availability.
25. Customer-Supplied Goods or Materials
Customer-supplied goods, products, packaging, or materials are accepted only under a written agreement. The Customer bears the risk of latent defects, inconsistent materials, insufficient quantities, and ordinary production spoilage. I.D. Me is responsible only for direct physical loss or damage to Customer-supplied property caused by I.D. Me’s failure to exercise commercially reasonable care, and any liability is limited to the documented replacement cost of the affected property, subject to applicable law. I.D. Me may require additional quantities to allow for setup, testing, and production spoilage.
26. Storage and Unclaimed Goods
Unless the accepted order states otherwise, completed, returned, or Customer-owned goods may be stored without charge for 10 calendar days after notice that the goods are ready for shipment or pickup. After 10 days, reasonable storage and handling charges may apply. If goods remain unclaimed for 90 days, I.D. Me may, after at least 15 days’ additional written notice and to the extent permitted by law, return, dispose of, donate, or liquidate the goods and apply proceeds to unpaid amounts and costs.
27. Manufacturer Warranties
I.D. Me will pass through transferable manufacturer warranties when available. Warranty claims may be subject to manufacturer procedures, inspection, exclusions, and remedies. I.D. Me does not expand a manufacturer warranty unless I.D. Me expressly agrees in writing.
28. Disclaimer of Additional Warranties
EXCEPT FOR EXPRESS WRITTEN WARRANTIES, MANUFACTURER WARRANTIES THAT APPLY, AND RIGHTS THAT CANNOT LEGALLY BE WAIVED, GOODS AND SERVICES ARE PROVIDED WITHOUT ADDITIONAL EXPRESS OR IMPLIED WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, I.D. ME DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
29. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, I.D. ME WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST BUSINESS, REPUTATIONAL LOSS, OR EVENT-RELATED LOSS. I.D. ME’S DIRECT LIABILITY FOR AN AFFECTED ORDER WILL NOT EXCEED THE AMOUNT PAID OR PAYABLE FOR THE AFFECTED GOODS OR SERVICES. NOTHING EXCLUDES OR LIMITS LIABILITY THAT CANNOT LEGALLY BE EXCLUDED OR LIMITED.
30. Indemnification
To the extent permitted by law, a business or organizational Customer agrees to defend, indemnify, and hold harmless I.D. Me and its owners, officers, employees, and agents from third-party claims, damages, liabilities, and reasonable costs arising from Customer-supplied materials; lack of authorization or licensing; personal information supplied without proper authority, notice, or permission; the Customer’s directions; unlawful use; or material breach of these Order Terms. This obligation does not apply to the extent a claim results from I.D. Me’s unauthorized conduct outside the Customer’s instructions.
31. Force Majeure
I.D. Me is not responsible for delay or failure caused by events beyond its reasonable control, including supplier interruption, shortage, labor disruption, carrier delay, port congestion, customs delay, natural disaster, fire, severe weather, epidemic, war, terrorism, governmental action, cyber incident, utility failure, or transportation interruption. I.D. Me will communicate material impacts when reasonably practical and may propose substitution, revised timing, partial performance, or cancellation of the affected portion.
32. Compliance with Law
Each party will comply with laws applicable to its performance. The Customer will not direct I.D. Me to produce unlawful, infringing, deceptive, discriminatory, threatening, or otherwise prohibited content. International transactions are subject to applicable export controls, sanctions, customs, anti-boycott, and trade restrictions.
33. Governing Law and Venue
These Order Terms are governed by California law without regard to conflict-of-law principles. Subject to applicable law, state and federal courts located in Los Angeles County, California have exclusive jurisdiction. The parties are encouraged to attempt informal resolution before filing suit. The United Nations Convention on Contracts for the International Sale of Goods does not apply. No arbitration, jury waiver, class waiver, or shortened claim period is included without separate counsel approval.
34. General Provisions
If a provision is invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain effective. Failure to enforce is not a waiver. The Customer may not assign an order without I.D. Me’s written consent. I.D. Me may assign an order in connection with a merger, acquisition, sale of assets, reorganization, or transfer of the relevant business. These Order Terms and the accepted order constitute the parties’ agreement on the covered subject matter unless superseded by a signed negotiated agreement.
