1. Acceptance and Scope
These Terms govern www.idmepromotions.com, accounts, search, comparisons, favorites, saved projects, quote carts, requests, uploads, and any I.D. Me online store, portal, subdomain or service linking to them. By creating an account, submitting a request, uploading materials, or placing an order through a service that expressly references these Terms, you agree to them. If acting for an organization, you represent authority to bind it. No arbitration, class waiver, jury waiver or shortened claim period is included.
2. Quote-Request Platform
The primary Website is a quote-request platform, not a conventional direct-purchase checkout. A quote request does not complete a purchase, reserve inventory, guarantee price or availability, authorize production or require I.D. Me to provide a product. Certain company stores may permit direct purchases under supplemental terms.
3. Accepted Orders
An accepted order exists only after I.D. Me issues or confirms a written quote or order document, the customer accepts it as instructed, required purchase order, payment or credit, artwork, proof, licensing and shipping conditions are satisfied, and I.D. Me accepts the order for production. More specific accepted commercial terms control for the relevant order.
4. Product Information
Supplier and manufacturer data may be incomplete, delayed or changed. Images and virtual samples are illustrative. Prices may exclude setup, artwork, decoration, freight, tax, tariffs, duties, licensing royalties, rush charges, packaging, kitting, fulfillment and individual shipping. Inventory is not reserved, minimums may apply, and dates are estimates unless expressly guaranteed in writing.
5. Accounts and Company Stores
Users must provide accurate information, protect credentials and report suspected misuse. Sponsored stores may have eligibility, product, credit, ordering-window, approval, shipping, return, exchange and expiration rules. Sponsors may receive information reasonably needed to administer their program.
6. User Materials and Authorization
Users retain ownership of submitted materials and grant I.D. Me and necessary providers a limited right to evaluate, quote, proof, decorate, produce, fulfill, deliver, support and maintain records. Users represent that they own or are authorized to use submitted logos, artwork, names, recipient information and personalization and have obtained required organizational and licensing approvals.
7. Proofs
Customers must review spelling, names, dates, numbers, products, colors, imprints, artwork, placement, size, decoration, personalization and shipping information. I.D. Me and production partners may rely on approval. The customer is responsible for errors appearing in an approved proof, except to the extent delivered goods materially differ from the approved proof because of an I.D. Me or production-partner error.
8. Recipient Information
A User providing another person’s information represents authority to do so and that required notices and permissions have been provided. Use secure upload when available and do not provide unnecessary sensitive information.
9. Acceptable Use
Users may not violate law or third-party rights; submit unlawful, deceptive, infringing or harmful material; impersonate others; gain unauthorized access; test security without permission; introduce malware; interfere with operation; bypass controls; scrape or bulk extract data; republish supplier data; create a competing catalog; collect other users’ data; send spam; or submit fraudulent quotes, orders or chargebacks.
10. AI and Automated Extraction
Without written permission, Website Content may not be used to train or develop AI models, build commercial datasets, create competing catalogs, conduct large-scale automated extraction, circumvent controls or commercially republish I.D. Me or supplier information. Ordinary compliant search-engine indexing is permitted.
11. Reviews and Testimonials
If reviews, ratings, testimonials or public submissions are permitted, they must reflect genuine experience and may not be fabricated, purchased, conditioned on positive sentiment or presented without required disclosure of a material connection. I.D. Me may moderate spam, unlawful content, personal information, irrelevance and Terms violations.
12. Intellectual Property
The Website and original Content are owned by or licensed to I.D. Me. Users receive a limited, revocable, nonexclusive, nontransferable right to use the Website for legitimate business and informational purposes. Unauthorized modification, republication, commercial distribution, proprietary-notice removal, competing catalogs and other unauthorized use are prohibited.
13. Third-Party Services
Supplier websites, Ecwid, Shopify, custom stores, Flipsnack, Zendesk, Fortis, PayPal, Stripe, carriers and other services operate independently and may have separate terms and privacy policies. A link or integration does not necessarily imply endorsement.
14. Website Availability and No Professional Advice
I.D. Me may modify, maintain, suspend, restrict or discontinue Website functions. It does not guarantee uninterrupted access, immediate correction, current supplier data or continued availability of saved products. Content is general product, sourcing and business information, not legal, tax, accounting, regulatory, environmental, safety or licensing advice.
15. Website Warranty Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND WEBSITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” I.D. ME DISCLAIMS EXPRESS, IMPLIED AND STATUTORY WARRANTIES CONCERNING THE WEBSITE, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. I.D. ME DOES NOT WARRANT THAT CONTENT OR SUPPLIER DATA WILL BE COMPLETE, ACCURATE, CURRENT OR ERROR-FREE, OR THAT ACCESS WILL BE UNINTERRUPTED OR COMPLETELY SECURE.
16. Limitation of Website Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, I.D. ME AND ITS OWNERS, OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES ARISING FROM THE WEBSITE, CONTENT, LOSS OF ACCESS OR DATA, PRELIMINARY PRODUCT INFORMATION, THIRD-PARTY SERVICES, UNAUTHORIZED ACCOUNT ACCESS OR A USER’S TERMS VIOLATION. NOTHING EXCLUDES LIABILITY THAT CANNOT LEGALLY BE EXCLUDED.
17. Business-User Indemnification
To the extent permitted by law, a business or organizational User supplying materials, personal information, licensing instructions or personalization agrees to defend and indemnify I.D. Me from third-party claims arising from lack of authority, infringement caused by supplied materials or directions, missing licensing approval, personal information supplied without required authority or notice, unlawful Website use or material Terms violation. This does not apply to I.D. Me conduct outside the customer’s authorization or instructions.
18. Changes and Electronic Communications
Revised Terms will state an updated date and apply prospectively unless stated otherwise. Material changes may receive additional notice, and affirmative reacceptance may be required. Users consent to operational communications electronically but not automatically to marketing.
19. Governing Law and Venue
California law governs these Terms without regard to conflict-of-law principles. Subject to applicable law, state and federal courts located in Los Angeles County, California will have exclusive jurisdiction over disputes arising from or relating to these Terms or the Website. The parties are encouraged to attempt to resolve disputes informally before commencing legal proceedings. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
20. General
If a provision is unenforceable, the remainder remains effective. Failure to enforce is not a waiver. Users may not assign without consent. I.D. Me may assign in a business transaction. Provisions that logically survive termination continue. More specific accepted agreements control for matters they address.
